Solo Satoshi Terms of Service and Sale Agreement

These Terms of Service set out the legally binding terms that govern your access to and use of the Solo Satoshi website located at www.solosatoshi.com, any related mobile sites or services, and any orders you place for products or services through these channels.

By accessing or using the Site, placing an order, or clicking to accept or agree to these Terms where that option is made available, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, available at www.solosatoshi.com/privacy-policy. If you do not agree, you must not use the Site or purchase from Solo Satoshi.

1. Definitions

For purposes of these Terms:

a. “Solo Satoshi,” “we,” “us,” and “our” mean Solo Satoshi LLC, a Delaware limited liability company, and its affiliates, officers, directors, employees, and agents.

b. “Site” means www.solosatoshi.com and any related online interfaces, including content, functionality, and services offered on or through them.

c. “Products” means all physical goods and digital items we offer for sale, including but not limited to bitcoin mining hardware, accessories, and related equipment.

d. “Services” means customer support, educational content, videos, consulting, and any other services we provide through or in connection with the Site.

e. “You” and “your” mean the individual accessing the Site or placing an order, or the entity on whose behalf that individual acts.

f. “Force Majeure Event” means any event beyond a party’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, freezes, pandemics, epidemics, quarantine restrictions, strikes, labor disputes, supply chain disruptions, carrier delays, utility failures, or government actions.

2. Eligibility

a. You must be at least eighteen (18) years of age and have the legal capacity to enter into binding contracts to use the Site and place orders. By using the Site or placing an order, you represent and warrant that you are at least eighteen (18) years of age.

b. If you are using the Site or purchasing Products on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity, and in that case “you” refers to both you personally and that entity.

3. Additional Terms and Policies

a. Your use of the Site and purchase of Products may be subject to additional terms, policies, or agreements, such as our Privacy Policy, Return and Refund Policy, Warranty Policy, Backorder Policy, and any specific terms shown during checkout or in connection with a particular Product or promotion.

b. If there is a conflict between these Terms and any additional written agreement that you sign with Solo Satoshi, the signed agreement will govern with respect to the subject matter of that agreement.

c. If there is a conflict between these Terms and any policy posted on the Site, these Terms will govern unless the policy expressly states otherwise.

d. Our Warranty Policy, available at www.solosatoshi.com/warranty-policy, describes warranty coverage by product category. Warranty terms vary by manufacturer and product line. The warranty terms applicable to a specific Product are identified on the Product page and in the Warranty Policy in effect at the time of your purchase.

4. Changes to the Site and to these Terms

a. We may update, modify, or discontinue any part of the Site, Products, or Services at any time without prior notice.

b. We may revise these Terms from time to time. When we do, we will revise the “Last updated” date above. Changes become effective when posted on the Site.

c. Your continued use of the Site or purchase of Products after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Site.

5. Online Store and Orders

5.1 Product Information

a. We strive to describe Products accurately, including specifications, features, and images. However, minor variations in appearance, packaging, or non-material specifications may occur.

b. Hashrate figures, power consumption, noise levels, and similar technical metrics are typical or target values. Actual performance may vary due to environmental conditions, firmware settings, overclocking, undervolting, manufacturing tolerances, power quality, network conditions, and other factors outside our control.

c. Information about mining profitability, block rewards, difficulty, coin price, or return on investment is inherently uncertain and volatile. Any illustrative examples or calculators on our Site are for informational and educational purposes only and are not promises, guarantees, or financial advice.

d. Warranty coverage, duration, and warranty service providers vary by product line. Some Products carry manufacturer warranties administered directly by the manufacturer, while others carry warranties provided by Solo Satoshi LLC. Solo Satoshi acts as a distributor for certain manufacturers and cannot process warranty claims, repairs, or replacements for products covered by manufacturer warranties. Review the Warranty Policy before purchasing to understand which entity provides warranty service for each Product.

5.2 Pricing, Taxes, and Errors

a. All prices are shown in United States dollars unless stated otherwise. Prices are subject to change at any time without notice.

b. Prices do not include applicable sales, use, value added, customs, duties, or other taxes. Sales tax will be collected on orders shipped to states where Solo Satoshi has a tax collection obligation, at the rate in effect at the time of purchase. You are responsible for any taxes not collected by Solo Satoshi at checkout, including taxes in your jurisdiction.

c. We attempt to ensure that pricing and availability information is accurate, but errors may occur. If we discover an error in the price or other key information for a Product you ordered, we may cancel the order or contact you to confirm whether you wish to proceed at the corrected price or terms.

5.3 Order Acceptance and Cancellation by Us

a. Your order is an offer to purchase the Products listed in your order. We are not obligated to accept your order and may, in our sole discretion, refuse or cancel any order for any lawful reason, including but not limited to:

  • Suspected fraud or unauthorized activity;
  • Errors in pricing or Product information;
  • Product unavailability or limitations;
  • Violation of these Terms or applicable law.

b. An order is accepted and a binding contract is formed only when we send an order confirmation or shipping confirmation or when we ship the Product, whichever occurs first.

c. If we cancel an order after your payment has been processed, we will issue a refund for the applicable amount to the original payment method, subject to the time required by your financial institution to post the funds.

5.4 Your Order Changes and Cancellations

a. Once an order is placed, we may not be able to modify or cancel it, particularly if it has entered processing or shipping. You may contact Solo Satoshi support, and we will make reasonable efforts to assist, but we cannot guarantee changes.

b. If your order cannot be cancelled and you still wish to return the Product, it will be handled under our then-current Return and Refund Policy and any applicable restocking fees may apply.

5.5 Payment and Billing

a. You authorize us and our payment processors to charge the payment method you provide for the total amount of your order, including any applicable taxes, shipping, and fees.

b. You represent and warrant that you are authorized to use the chosen payment method and that the payment information provided is accurate and complete.

c. If your payment cannot be processed or is later reversed, you remain responsible for the amount due, and we may cancel or suspend your order, limit your future ordering, or pursue any other lawful remedies.

5.6 Shipping, Delivery, and Risk of Loss

a. Shipping options, fees, and estimated delivery times are presented at checkout and may vary based on destination, shipping method, and carrier constraints.

b. Any delivery time frames provided are estimates only. We are not liable for delays caused by carriers, customs, weather, Force Majeure Events, or other factors beyond our reasonable control.

c. Unless otherwise stated in writing, title and risk of loss for Products pass to you when we deliver the Products to the carrier at our shipping point. If a shipment is lost or damaged in transit, you must cooperate with us and the carrier in claims handling.

d. You are solely responsible for ensuring that your shipping address, contact information, and email address are entered correctly at checkout. Solo Satoshi is not responsible for lost, misdelivered, delayed, or undeliverable orders that result from incorrect or incomplete information provided by you. If a shipment is returned, held, re-routed, or otherwise incurs additional carrier, customs, brokerage, storage, or reshipment fees due to incorrect or incomplete information that you provided, you may be responsible for those additional fees before the order is reshipped or any refund is processed.

e. You agree to inspect all Products promptly upon delivery. If any Products are missing, incorrect, or appear damaged on arrival, you must notify Solo Satoshi in writing and provide reasonable supporting documentation within five (5) business days after the carrier records the order as delivered. If you do not notify us within this time frame, the Products will be deemed accepted as delivered, subject only to any applicable warranty rights.

f. If the carrier records a shipment as delivered to the shipping address you provided, the order will be deemed delivered and the risk of loss will rest with you from that time. Solo Satoshi is not responsible for theft, loss, or damage that occurs after the carrier records delivery. We may, in our discretion, assist you in working with the carrier, but we are not obligated to replace or refund such orders.

g. If a shipment is refused, unclaimed, or returned to us as undeliverable due to your failure to pay duties or taxes, respond to carrier notices, collect the shipment, or otherwise cooperate with delivery, we may treat the shipment as a return. In that case, any refund will be reduced by original and return shipping charges, any customs, brokerage, storage, or carrier charges billed to us, and any applicable restocking fees, unless prohibited by law.

h. Address change requests after an order is placed are not guaranteed. Once an order has entered processing or has been handed to the carrier, we may be unable to change the shipping address. If an address change or reroute is possible, you will be responsible for any additional carrier or handling fees before the change is submitted.

i. We may fulfill your order in one or more shipments at our discretion. Each shipment may have its own tracking number and may arrive on different dates. For purposes of risk of loss, each shipment is treated as a separate delivery under Section 5.6(c).

j. Force Majeure. Solo Satoshi shall not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure results from a Force Majeure Event. In such event, Solo Satoshi’s obligations shall be suspended for the duration of the Force Majeure Event, and delivery dates shall be extended accordingly. If a Force Majeure Event continues for more than ninety (90) days, either party may cancel the affected order, and Solo Satoshi shall refund any amounts paid for undelivered Products.

5.7 International Orders and Customs

a. If you order Products for delivery outside the United States, you are the importer of record. You are responsible for compliance with all local laws and regulations, including import restrictions and sanctions.

b. You are responsible for all customs duties, taxes, brokerage fees, and other charges imposed by the destination country. These costs are not under our control and may be collected at delivery or in the cart at checkout.

5.8 Backorders and Preorders

a. From time to time, we may offer Products on a backorder or preorder basis. The expected shipping date will be presented on the item’s product page or in related communications but is an estimate only and may change due to supply chain conditions or manufacturing delays.

b. By placing a backorder or preorder, you authorize us to charge your payment method at the time of order unless we expressly state otherwise.

c. If we are unable to fulfill a backorder or preorder within a commercially reasonable time, we may cancel your order and issue a refund. Details not covered in this section are governed by any separate Backorder Policy posted on the Site at the time of your order.

5.9 Returns, Exchanges, Refunds, and Restocking Fees

a. Returns, exchanges, and refunds are governed by our Return and Refund Policy in effect when you purchase. That policy is incorporated into these Terms by reference.

b. Warranty claims are distinct from returns and are governed by our Warranty Policy. If you believe a Product is defective and within its warranty period, please follow the warranty claim procedures in our Warranty Policy rather than the general return process.

c. In general, Products must be returned in their original condition with all accessories, documentation, packaging, and serial numbers intact, within the time frame specified in our Return and Refund Policy, and with an authorized Return Merchandise Authorization (RMA) when required.

d. Certain Products may be nonreturnable, including but not limited to custom-configured items, heavily used or damaged items, and Products that have been modified, overclocked, flashed with third-party firmware, opened, or otherwise altered outside normal installation steps.

e. We reserve the right to inspect any returned Product. If we determine that the Product is in good working condition and was not defective, your return may be treated as a discretionary return and may be subject to a restocking fee as described in our Return and Refund Policy.

f. Approved refunds will be issued to the original payment method where possible. Your bank or card issuer controls when the balance appears on your account, which may take 3-5 business days.

f.1 Refunds for orders originally paid in Bitcoin will be processed sat-for-sat (satoshi-for-satoshi) to a valid Bitcoin on-chain address that you provide. You are solely responsible for providing a correct and accessible address. Solo Satoshi is not liable for refunds sent to an incorrect or inaccessible address. Network fees may be deducted from the refund amount.

g. As a condition to any return, exchange, or warranty evaluation, you agree to cooperate with Solo Satoshi in good-faith troubleshooting. This may include, without limitation, providing order information, photos, screenshots, configuration details, serial numbers, log files, and short video recordings, and performing reasonable tests or steps that we request such as changing power supplies, cables, or pool settings.

h. If you do not cooperate with reasonable troubleshooting requests, or if you refuse to perform basic tests that can be safely carried out, Solo Satoshi may delay processing or deny the return, exchange, or warranty claim, except where prohibited by applicable law.

6. Accounts and Security

a. You may be required to create an account to access certain Site features or to place orders. You must provide accurate and current information and keep your account information updated.

b. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

c. You agree to notify us promptly via the contact form of any unauthorized use of your account or any suspected breach of security.

d. We reserve the right to suspend, restrict, or terminate any account at any time for any lawful reason, including violation of these Terms, suspected fraudulent activity, or extended inactivity. Where practicable and not prohibited by law, we will attempt to notify you of account termination, but failure to provide notice shall not affect our right to terminate.

7. Acceptable Use

You agree that you will use the Site and Services only for lawful purposes and in accordance with these Terms. Without limiting the generality of the foregoing, you agree that you will not:

a. use the Site in any manner that violates any applicable law, regulation, or order;

b. engage in any activity that may damage, disable, overburden, interfere with, or compromise the security or functioning of the Site;

c. attempt to gain unauthorized access to any accounts, systems, networks, or data of Solo Satoshi or any other user;

d. use any robot, spider, scraper, or other automated means to access the Site for data mining, scraping, or extraction except as expressly permitted in writing;

e. upload, transmit, or otherwise make available any malware, viruses, or harmful code;

f. use the Site to harass, threaten, defame, or infringe the rights of any person or entity;

g. use the Site or any Product to engage in unlawful activities, including but not limited to money laundering, sanctions evasion, or any use prohibited by applicable export control laws;

h. purchase Products for the purpose of resale without Solo Satoshi’s prior written consent, or misrepresent yourself as an authorized reseller or distributor of any Products.

8. Intellectual Property

a. The Site, including all content, text, graphics, logos, icons, images, videos, software, and other materials, as well as the selection and arrangement of these elements, is owned by Solo Satoshi or its licensors and is protected by copyright, trademark, and other intellectual property laws.

b. Solo Satoshi, any associated logos, product names, and slogans are trademarks or service marks of Solo Satoshi LLC. Other marks are the property of their respective owners.

c. Subject to your compliance with these Terms, Solo Satoshi grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business use, solely to review information and purchase Products.

d. Except as expressly permitted by these Terms or in writing by Solo Satoshi, you may not copy, reproduce, distribute, publicly display, perform, modify, create derivative works from, reverse engineer, decompile, disassemble, license, sell, or otherwise exploit the Site or any content.

9. User Content, Reviews, and Unsolicited Ideas

a. The Site may allow you to submit reviews, comments, feedback, questions, images, or other content. You are solely responsible for any content you submit and for the consequences of posting or publishing it.

b. You represent and warrant that your content does not violate any law or infringe any rights of any person or entity, including intellectual property, privacy, or publicity rights, and that you have all rights necessary to grant the license described below.

c. By submitting content, you grant Solo Satoshi a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and otherwise exploit that content in any media now known or later developed, for any lawful purpose, including marketing and improving our Products and Services.

d. Solo Satoshi has no obligation to monitor user content but may, in its discretion, review, remove, or refuse to post any content that it considers to violate these Terms or to be otherwise objectionable.

e. Solo Satoshi does not accept or consider unsolicited ideas, inventions, or proposals relating to new products, features, or services outside of a written non-disclosure agreement or other written contract. If you choose to submit such materials in the absence of such an agreement, you do so with the understanding that Solo Satoshi may use them without obligation to you and without any confidentiality restrictions.

a. The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Solo Satoshi. We provide these links only as a convenience and do not endorse or assume responsibility for any third-party content, products, services, or privacy practices.

b. If you access any third-party website or service, you do so at your own risk and are subject to the terms and policies of that third party.

c. Solo Satoshi may engage in affiliate marketing and may receive commissions or other compensation when you click on links or purchase products or services from third parties promoted through the Site. We may also accept sponsorships or advertising from third parties.

d. Any sponsored content or affiliate relationships will be disclosed as required by applicable law, including the rules of the Federal Trade Commission in the United States.

11. Electronic Communications

a. When you visit the Site, create an account, place an order, or send us emails, you are communicating with us electronically. You consent to receive communications from us electronically, such as emails, texts where permitted, or notices posted on the Site.

b. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

12. Privacy

a. Your submission of personal information through the Site is governed by our Privacy Policy, available at www.solosatoshi.com/privacy-policy, which is incorporated into these Terms by reference.

b. You agree that any information you provide to us is accurate and complete and that you will keep it updated.

c. We will not use your email address for unsolicited marketing unrelated to our Products and Services without your consent, subject to applicable law.

13. Mining and Hardware Risk Disclosure and No Financial Advice

a. Bitcoin mining and participation in cryptocurrency networks involve substantial risks, including but not limited to hardware failure, reduced performance, network difficulty changes, increased electricity costs, regulatory changes, and extreme asset price volatility.

b. Solo Satoshi delivers hardware and related Products only. We do not control mining difficulty, network rules, block rewards, transaction fees, or market prices. We do not operate your miners on your behalf.

c. Any calculators, tutorials, examples, or educational materials on the Site are provided for general informational purposes only and do not constitute investment, financial, tax, legal, or accounting advice. You should consult your own professional advisers before making investment or business decisions.

d. Solo Satoshi does not guarantee that operating any miner or other Product will result in any particular hashrate, profit, block reward, or return on investment. You assume all risks associated with the selection, installation, configuration, operation, overclocking, underclocking, modification, or misuse of the Products.

e. Overclocking, running third-party firmware, modifying power delivery, altering cooling solutions, or otherwise operating Products outside manufacturer-recommended parameters may damage hardware, reduce lifespan, void warranties, and create fire or safety hazards. You are solely responsible for any such modifications and their consequences.

a. You may not use the Site or purchase Products if you are located in, or are a national or resident of, any country or territory subject to comprehensive United States sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or if you are listed on the U.S. Treasury Department’s Specially Designated Nationals (SDN) List, the U.S. Commerce Department’s Denied Persons List or Entity List, or any other U.S. government restricted party list.

b. You are responsible for ensuring that your purchase, receipt, and use of Products comply with all applicable import, export, and sanctions laws and regulations, including those of the United States and any jurisdiction where you are located or to which you ship Products.

c. You agree that you will not resell, export, re-export, or transfer any Product in violation of such laws and regulations.

15. Disclaimer of Warranties

a. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, SERVICES, AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

b. TO THE FULLEST EXTENT PERMITTED BY LAW, SOLO SATOSHI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH RESPECT TO THE SITE, SERVICES, AND ALL CONTENT.

c. Solo Satoshi does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.

d. Product warranties are governed by our Warranty Policy and, where applicable, by manufacturer warranties. For Products carrying third-party manufacturer warranties (including but not limited to Canaan and Start9 products), Solo Satoshi makes no warranty representations on behalf of such manufacturers, does not administer or fulfill manufacturer warranty claims, and shall not be liable for any manufacturer’s warranty obligations. Your sole remedy for manufacturer warranty claims is directly with the applicable manufacturer. Nothing in this section is intended to limit any rights you may have under written warranties or under mandatory consumer protection laws that cannot be disclaimed.

16. Limitation of Liability

a. To the fullest extent permitted by law, in no event will Solo Satoshi, its affiliates, or their respective directors, officers, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, loss of mining rewards, business interruption, or other intangible losses, arising out of or relating to your use of or inability to use the Site, any Products or Services, or these Terms, even if advised of the possibility of such damages.

b. To the fullest extent permitted by law, the total aggregate liability of Solo Satoshi and its affiliates for any and all claims arising out of or related to your use of the Site, Products, or Services, or these Terms, whether in contract, tort, or otherwise, will not exceed the greater of:

  • the total amount you paid to Solo Satoshi for the Product or Service giving rise to the claim during the twelve (12) month period preceding the event giving rise to the claim; or
  • one hundred (100) United States dollars.

c. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some of the above limitations and exclusions may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

d. Nothing in these Terms is intended to limit or exclude any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by gross negligence or willful misconduct.

17. Indemnification

You agree to indemnify, defend, and hold harmless Solo Satoshi, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

a. your breach of these Terms or any other applicable policy;

b. your violation of any law or the rights of any third party;

c. your use of the Site or the Products, including any misuse, modification, or unsafe operation of Products.

18. Termination

a. We may, in our sole discretion and without notice, terminate or suspend your access to all or part of the Site or your account at any time and for any lawful reason, including but not limited to a violation of these Terms.

b. You may stop using the Site at any time and may request that we close your account, subject to our legitimate need to retain certain information for legal or operational purposes as described in our Privacy Policy.

c. Upon termination, your right to use the Site will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

19. Children

The Site is not directed to children under thirteen (13) years of age, and Solo Satoshi does not knowingly collect personal information from children under thirteen. If we become aware that we have collected personal information from a child under thirteen without verifiable parental consent, we will take appropriate steps to delete that information. If you believe we have collected information from a child under thirteen, please contact us immediately at [email protected].

20. Accessibility

Solo Satoshi is committed to making its Site content accessible to individuals with disabilities. If you encounter any difficulty accessing any part of the Site due to a disability, please contact us with a description of the issue and the relevant web address. If the issue is readily identifiable and resolvable using industry-standard tools and practices, we will make reasonable efforts to address it.

21. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void. We may assign or transfer our rights and obligations under these Terms without restriction.

22. Entire Agreement

These Terms, together with the policies and documents expressly incorporated by reference (including our Privacy Policy, Warranty Policy, and Return and Refund Policy), constitute the entire agreement between you and Solo Satoshi regarding your use of the Site and your purchase of Products and Services, and supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether oral or written.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the parties’ original intent, or if modification is not possible, severed from these Terms. The invalidity of any provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

24. No Waiver

No waiver by Solo Satoshi of any term or condition set out in these Terms will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Solo Satoshi to enforce a right or provision under these Terms will not constitute a waiver of that right or provision.

25. Governing Law and Jurisdiction

a. These Terms and any dispute or claim arising out of or related to them, the Site, or any Products or Services, will be governed by and construed in accordance with the laws of the State of Texas and the United States, without regard to conflict of law principles.

b. You agree that the state and federal courts located in Montgomery County, Texas will have exclusive jurisdiction over any legal action or proceeding arising out of or related to these Terms or your use of the Site or purchase of Products, and you consent to the personal jurisdiction of such courts.

c.
