These Backorder Terms and Conditions (the “Backorder Terms”) govern the purchase of products that are identified as available on a backorder basis from Solo Satoshi LLC, a Delaware limited liability company (“Solo Satoshi,” “we,” “us,” or “our”). By placing an order for a Backordered Product, you (“you” or “Customer”) agree to be bound by these Backorder Terms in addition to Solo Satoshi’s Terms of Service and Sale Agreement and any other applicable policies posted on our website.
If these Backorder Terms conflict with the Terms of Service and Sale Agreement, these Backorder Terms will control with respect to any Backordered Product.
1. Definitions
For purposes of these Backorder Terms, the following definitions apply:
a. “Backorder” (including any order described as a preorder) means an order placed for a product that is not currently available for immediate shipment but is expected to become available as part of a future production run or incoming shipment that has been scheduled or otherwise confirmed by Solo Satoshi.
b. “Backordered Product” means any product that is offered by Solo Satoshi on a backorder basis and is identified as such on the applicable product page at the time of purchase.
c. “In Stock Product” means any product that is available for immediate shipment from Solo Satoshi’s inventory at the time of purchase.
2. Availability of Backorders
2.1 Solo Satoshi may, in its sole discretion, make certain products available for Backorder. We generally open Backorders only when we have a defined and commercially reasonable path to restocking, which may include a confirmed production run, a confirmed purchase order with a manufacturing partner, or confirmed incoming inventory.
2.2 Solo Satoshi does not guarantee that any particular product will be offered on a Backorder basis and may suspend, restrict, or discontinue Backorders at any time, including after Backorders have been accepted, subject to the cancellation and refund provisions set out in these Backorder Terms.
3. Order Placement and Payment
3.1 When you place an order that includes a Backordered Product, your payment method will be charged in full at the time of checkout. By placing a Backorder, you authorize Solo Satoshi to process such payment immediately.
3.2 Charging at checkout reserves your place in the fulfillment queue for that Backordered Product and locks in the purchase price under Section 4 below.
3.3 You represent and warrant that all information you provide at the time of placing the Backorder, including billing address, shipping address, contact information, and payment details, is accurate and complete. Solo Satoshi is not responsible for delays or non-delivery resulting from incomplete or inaccurate information supplied by you.
4. Pricing and Price Changes
4.1 The price you pay at the time of placing the Backorder is the price applicable to that Backordered Product for your order.
4.2 If Solo Satoshi increases the retail price of a Backordered Product after you place your Backorder, your Backorder will remain at the original price you paid.
4.3 If Solo Satoshi decreases the retail price of a Backordered Product after you place your Backorder but before shipment, you may contact Solo Satoshi support to request a review. Any price adjustment in that situation is at Solo Satoshi’s sole discretion and is not guaranteed.
5. Estimated Shipping and Fulfillment
5.1 Each Backordered Product will display an estimated shipping or fulfillment window on the product page, for example “Ships in approximately 2 to 4 weeks,” at the time you place your Backorder. This estimate is based on information available to Solo Satoshi from its manufacturing, logistics, and supply chain partners as of that time.
5.2 All shipping or fulfillment time frames for Backordered Products are good-faith estimates only and are not guarantees or promises of a specific shipment or delivery date. Actual fulfillment dates may vary due to factors that can include, without limitation, component shortages, production delays, freight delays, customs inspections, regulatory holds, logistics disruptions, or other circumstances beyond Solo Satoshi’s reasonable control.
5.3 If Solo Satoshi is unable to ship a Backordered Product within the estimated window displayed at the time of your order (or, if no window was displayed, within thirty (30) days), Solo Satoshi will notify you by email before that date passes. The notice will state a revised shipping date and give you the option to cancel for a full refund at no cost. If a revised date is later missed, Solo Satoshi will notify you again and will cancel your Backorder and issue a full refund unless you affirmatively consent to the further delay.
6. Fulfillment Priority
6.1 Backorders for a given Backordered Product will be fulfilled on a first order, first fulfillment basis, determined by the date and time Solo Satoshi receives a valid and paid Backorder for that product.
6.2 If Solo Satoshi receives fewer units than anticipated, Solo Satoshi will allocate available units to Customers in order of Backorder placement. Any Backorders that cannot be fulfilled from the available units will remain open subject to Section 8 and Section 9 below.
7. Orders Containing Both In Stock and Backordered Products
7.1 Unless expressly stated otherwise on the product page or during checkout, any order that contains both In Stock Products and Backordered Products will be shipped as a single shipment when all items in the order are available for fulfillment.
7.2 If you wish to receive In Stock Products earlier than the Backordered Products, you may contact Solo Satoshi support to request that your order be split into separate shipments. Solo Satoshi may agree to split shipments on a case-by-case basis. Additional shipping charges may apply for split shipments. Any such additional charges will be disclosed to you for approval before Solo Satoshi proceeds with the split.
7.3 Once a shipment has been released to the carrier, Solo Satoshi’s standard shipping and risk of loss terms under its Terms of Service and Sale Agreement will apply. The change-of-mind return window under the Refund, Return, & Warranty Policy runs from the order date. Because Backordered Products may ship after that window closes, you may cancel at no charge at any time before shipment under Section 8.
8. Cancellations by Customer and Refunds
8.1 You may request cancellation of a Backorder for any Backordered Product at any time prior to the time Solo Satoshi marks the order as shipped or otherwise releases the applicable shipment to the carrier.
8.2 To cancel a Backorder, you must contact Solo Satoshi support at [email protected] and provide the relevant order number and sufficient information for Solo Satoshi to identify your order. Solo Satoshi may require additional information to confirm your identity and protect against fraudulent requests.
8.3 If your Backorder is cancelled prior to shipment, Solo Satoshi will issue a full refund of the purchase price, applicable taxes, and shipping charges allocable to the cancelled item.
8.4 Refunds will be initiated within seven (7) business days of cancellation (or within one billing cycle where required by your card network). The time for the credit to appear is controlled by your bank or payment provider. Refunds for Backorders paid in Bitcoin are issued sat-for-sat to a valid on-chain address you provide, as described in Section 3.3 of the Refund, Return, & Warranty Policy.
9. Delays and Failure to Fulfill
9.1 In any delay notice under Section 5.3, Solo Satoshi may also offer a substitute product. A substitution will be made only with your express consent; you may decline any substitute and cancel for a full refund.
9.2 If, due to production constraints, component discontinuation, supplier failure, regulatory restrictions, or other circumstances beyond Solo Satoshi’s reasonable control, Solo Satoshi determines that it is unable to fulfill your Backordered Product at all, Solo Satoshi may cancel your Backorder. In that event, Solo Satoshi will issue a full refund of the purchase price paid for the affected Backordered Product, together with any applicable taxes and shipping charges allocable to that item.
9.3 If a Backordered Product remains unfulfilled for more than sixty (60) days past the most recent shipping estimate, Solo Satoshi may cancel the Backorder and issue a full refund even if you have not submitted a cancellation request. Solo Satoshi will provide notice of such cancellation to the email address associated with your order.
10. Changes to Customer Information
10.1 It is your responsibility to ensure that your contact information and shipping address remain current and accurate while your Backorder is pending.
10.2 If you need to update your shipping address, email address, or other order details before your Backorder ships, you must contact Solo Satoshi support as soon as possible. Solo Satoshi will use commercially reasonable efforts to process such updates, but changes may not be possible once an order has entered the final stages of fulfillment or has been released to the carrier.
11. Communication and Status Updates
11.1 Solo Satoshi will send order confirmations, status updates, delay notices, and shipment notifications for Backordered Products to the email address you provide at checkout.
11.2 You are responsible for monitoring the email account associated with your order, including any junk or spam folders, and for contacting Solo Satoshi support if you believe you have not received expected communications.
12. No Warranty of Availability
12.1 While Solo Satoshi uses commercially reasonable efforts to plan production runs and manage its supply chain, Solo Satoshi does not warrant or guarantee the continuous or uninterrupted availability of any product on a Backorder basis.
12.2 Your sole and exclusive remedies in connection with delays, changes, or unavailability of Backordered Products are those expressly described in these Backorder Terms and any non-waivable rights provided by applicable law.
13. Incorporation by Reference
13.1 These Backorder Terms are incorporated into and form part of Solo Satoshi’s Terms of Service and Sale Agreement and other policies posted on the Solo Satoshi website. All capitalized terms used but not defined in these Backorder Terms have the meanings given in the Terms of Service and Sale Agreement.
13.2 In the event of any conflict between these Backorder Terms and any other Solo Satoshi policy with respect to Backordered Products, these Backorder Terms will govern.
14. Delayed Delivery Disclosure
14.1 Backordered Products are sold on a delayed-delivery basis. By completing checkout you acknowledge that (a) your payment method is charged in full at the time of purchase, (b) the product is not in stock, and (c) the estimated shipping window shown on the product page and at checkout is your expected delivery timeframe. This disclosure is also presented on the product page and at checkout.
15. Consumer Rights and State Law
15.1 Nothing in these Backorder Terms limits rights you have under applicable law, including the FTC Mail, Internet, or Telephone Order Merchandise Rule (16 C.F.R. Part 435) and, for California residents, California Business and Professions Code §17538. Where these Backorder Terms and such law conflict, the law controls.
16. International Orders
16.1 Backorders are offered to Customers in the United States. If Solo Satoshi accepts a Backorder from another country, Customers in the European Union or United Kingdom retain any statutory right of withdrawal applicable to distance sales, and any mandatory local consumer-protection law applies notwithstanding these Backorder Terms.
17. Payment Disputes
17.1 If you have a concern about a pending Backorder, please contact Solo Satoshi support before initiating a chargeback or payment dispute. Under Section 8 you may cancel at any time before shipment for a full refund, which is typically faster than a dispute process.
18. Version in Effect
18.1 The version of these Backorder Terms in effect at the time you place a Backorder governs that order. Solo Satoshi may update these Backorder Terms for future orders by posting a revised version with a new effective date.
